TO THE MAXIMUM EXTENT PERMITTED BY LAW, E&A DOOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA) ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 12. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to its conflict‑of‑law principles. Any legal action arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to personal jurisdiction and venue in those courts.

13. Dispute Resolution; Arbitration (Optional)

At either party’s election, any dispute arising under these Terms shall be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association in Santa Clara County, California. The arbitrator’s decision shall be final and may be entered as a judgment in any court of competent jurisdiction. Either party may seek injunctive relief in court for intellectual‑property or confidentiality breaches.

14. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to the Site, our interests, or any third party.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be replaced by a valid, enforceable provision that most closely reflects the original intent.

16. Entire Agreement

These Terms, together with any additional legal notices or policies posted on the Site, constitute the entire agreement between you and E&A Door regarding the Site and supersede all prior or contemporaneous communications.
